1. Agreement to Terms

By accessing or using any services provided by Terhoma Solutions ("Company," "we," "our," or "us"), including the Guestly event management platform and Aza financial services application, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you and Terhoma Solutions. Please read them carefully before using our services.

2. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the services under applicable laws
  • Provide accurate and complete registration information

For Aza financial services, additional eligibility requirements may apply, including identity verification and compliance with Know Your Customer (KYC) regulations.

3. Account Registration

To access certain features of our services, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. Service Descriptions

4.1 Guestly

Guestly is an event access control platform that provides:

  • QR code-based invitation generation and management
  • Guest list management and check-in functionality
  • Event analytics and attendance tracking
  • Multi-event and multi-user collaboration features

4.2 Aza

Aza is a financial services application that provides:

  • Peer-to-peer money transfers
  • Bill payments
  • Financial tracking and management tools

Important: Aza is not a bank. We partner with licensed financial institutions to provide certain services. Funds held in Aza may be subject to terms of our banking partners.

5. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in fraudulent, deceptive, or misleading activities
  • Transmit malware, viruses, or harmful code
  • Interfere with or disrupt our services or servers
  • Attempt to gain unauthorized access to our systems
  • Collect user information without consent
  • Send spam or unsolicited communications
  • Engage in money laundering or terrorist financing
  • Circumvent security measures or access restrictions
  • Use automated systems to access our services without permission

6. Financial Services Terms (Aza)

The following additional terms apply to Aza financial services:

6.1 Transactions

  • All transactions are subject to verification and may be delayed or declined
  • Transaction limits may apply based on account verification level
  • You are responsible for ensuring accurate recipient information
  • Completed transactions may not be reversible

6.2 Fees

Fees for financial services are disclosed before transactions are completed. We reserve the right to modify fees with prior notice.

7. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, software, and code, are owned by Terhoma Solutions or our licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services for personal or internal business purposes. You may not:

  • Copy, modify, or distribute our content without permission
  • Reverse engineer or decompile our software
  • Remove any proprietary notices or labels
  • Use our trademarks without authorization

8. User Content

You retain ownership of content you submit through our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content as necessary to provide our services.

You represent that you have the right to submit any content you provide and that it does not violate any third-party rights or applicable laws.

9. Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION
  • SECURITY OF TRANSMITTED INFORMATION

We do not guarantee that our services will meet your requirements or achieve any particular results.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERHOMA SOLUTIONS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from unauthorized access to your account
  • Damages resulting from third-party actions or services
  • Any amount exceeding the fees paid by you in the 12 months preceding the claim

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Terhoma Solutions and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or data submitted through our services

13. Termination

We may suspend or terminate your access to our services at any time, with or without cause or notice. You may terminate your account at any time by contacting us or using account settings.

Upon termination:

  • Your license to use our services ends immediately
  • You remain responsible for any outstanding obligations
  • We may retain certain data as required by law
  • Provisions that should survive termination will remain in effect

14. Modifications to Services and Terms

We reserve the right to modify, suspend, or discontinue any part of our services at any time. We may also update these Terms periodically. Significant changes will be notified through our services or by email. Your continued use after changes constitutes acceptance of the updated Terms.

15. Dispute Resolution

Any disputes arising from these Terms or your use of our services shall be:

  • First attempted to be resolved through informal negotiation
  • Subject to mediation if negotiation fails
  • Resolved through binding arbitration in accordance with Nigerian law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Terhoma Solutions.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not waive future enforcement.
  • Assignment: You may not assign your rights under these Terms without our consent.
  • Force Majeure: We are not liable for delays caused by events beyond our reasonable control.
